Agreement to Terms

These Service Conditions are an agreement between you and Neontree, UAB, a private limited liability company (UAB) incorporated under the laws of the Republic of Lithuania, a member state of the European Union, with its registered address at Žemaitės g. 17-6, LT-87133 Telšiai, Lithuania (the "Company"). Neontree, UAB manages and owns https://lovelica.com, as well as any linked websites or applications under the Lovelica branding, including those for its clients (collectively known as the Platform). These references are made in these Service Conditions. The Platform is operated by Neontree, UAB to enable Users to engage with AI-generated characters (collectively referred to as the Services). Neontree, UAB is the seller of the Services and the contracting party under these Conditions.

Group companies. The Company provides the Services together with its affiliated company Berhert Media Inc, a corporation incorporated under the laws of the State of Utah, United States of America (Utah entity number 14662127-0142, EIN 41-4298548), with its registered address at 5232 S Wild Horse Wy, Bluffdale, UT 84065, United States. The Company and Berhert Media Inc are affiliated companies forming part of the same corporate group (together, the "Group"). Each affiliated company acts as a payment processing entity of the Group: it is authorized to collect payments for the Services on behalf of the Company, and its name may appear on your bank or card statement (see "Payment and Billing Entities" below). Your contract for the Services is with the Company regardless of which Group company collects your payment.

By accessing or using the Platform or Services, you consent to comply with and be legally bound by these Service Conditions (Conditions). Please thoroughly review these Conditions and our Privacy Statement that is part of them. If you do not accept these Conditions, you must not acquire information from or continue using the Platform or Services.

Those who utilize the Services are called Users, and the terms "you" and "your" apply to you as such. Should you accept these Conditions or access the Services on behalf of a business or other legal body, you confirm your authority to bind that entity; thus, "you" and "your" refer to it. "We", "us", or "our" are used to indicate Neontree, UAB. Furthermore, unless context dictates otherwise, terms referring to one gender embrace all genders, and those in singular form include plural, and vice-versa.

You commit to providing accurate, up-to-date, truthful, and comprehensive information. It is your responsibility to keep your account information, including username and password, confidential. You are accountable for any activities under your account and agree to alert us without delay regarding any unauthorized access or use. You recognize and accept that we are not liable for any damages, losses, expenses, costs, or liabilities stemming from unauthorized access or usage of your account.

THE SERVICES PROVIDE ACCESS TO ARTIFICIAL-INTELLIGENCE CHARACTERS WITH WHICH USERS MAY EXCHANGE TEXT AND AI-GENERATED IMAGES. THE CHARACTERS ARE NOT REAL PEOPLE AND ALL CONTENT THEY GENERATE IS FICTIONAL. YOU ACKNOWLEDGE THAT BY USING OR ACCESSING THE SERVICES, YOU HAVE READ, UNDERSTAND, AND AGREE TO ADHERE TO THESE CONDITIONS.

These Conditions are supplemented by relevant supplementary agreements, including the terms of service, use policies, and community guidelines of the application stores, advertising platforms, and payment processors through which the Services are distributed or paid for. These Additional Agreements are regarded as integrated by reference into these Conditions.

These terms include an arbitration agreement, requiring individual dispute resolution through arbitration, not in court. There is no judge or jury in arbitration and review is limited. Arbitration is the only dispute resolution method for issues related to your use of Lovelica, except for specific exceptions detailed below (you can opt-out of the arbitration agreement, including class action waivers, within 30 days of accepting these terms).

Nature of the Services; AI-Generated Content

The characters are artificial intelligence, not humans. Every character, persona, message, and image made available through the Services is generated by automated systems. No statement made by a character is a statement of fact by Neontree, UAB or by any real person.
All characters depict adults. Every character is a fictional adult aged 18 years or older. The Services may not be used to create, request, direct, or elicit any character, depiction, description, or roleplay that represents, resembles, or is framed as a minor (a person under 18), or to assign a minor identity, age, or role to any character.
No real persons. Characters do not depict, and may not be directed to depict, any real, identifiable individual (including public figures) in a sexual, intimate, or defamatory manner.
AI content is generated on demand and may be inaccurate. Because content is produced by generative AI, it may be inaccurate, inappropriate, or unexpected. You should not rely on it as factual. While we apply automated and human moderation (see "Content Moderation" below), we do not guarantee that all content will be accurate, appropriate, or free of error.
Third-Party Model Licenses. The AI models powering the Services may be subject to open-source or third-party licenses (such as the CreativeML Open RAIL++-M License). Your use of the Services must comply with these underlying use restrictions, which generally prohibit the generation of illegal, discriminatory, or real-world harmful content.

Prohibited Content and Zero-Tolerance Child Safety Policy

Child Sexual Abuse and Exploitation (CSAE) — zero tolerance. Neontree, UAB has zero tolerance for any content, request, or conduct that sexualizes, exploits, or endangers minors. You may not, under any circumstances and regardless of framing (including "fiction," "roleplay," "hypothetical," or "age-play"):

create, request, solicit, describe, or attempt to generate any sexual or sexually suggestive content involving a minor or a character depicted, described, or implied to be a minor;
direct any character to identify as, role-play as, or be named as a minor, a child, or a minor family member;
represent yourself as a minor while using the Services; or
upload, transmit, or request child sexual abuse material (CSAM) or any content that sexualizes minors.

We use automated detection and human review to identify such activity. Violations result in immediate account termination, preservation of relevant records, and reporting to the National Center for Missing & Exploited Children (NCMEC) and/or applicable law enforcement, as required by law. We cooperate fully with law-enforcement investigations.

Other prohibited content. In addition, you may not use the Services to create, request, solicit, or attempt to generate content that depicts or promotes:

non-consensual sexual activity, rape, sexual assault, or sexualized coercion presented as real, instructional, or endorsed;
incest or sexual content involving family members;
bestiality, necrophilia, or sexual content involving the deceased;
sexualized violence including snuff, torture, mutilation, or graphic gore;
breath play, asphyxiation, or other content presenting serious physical harm as part of sexual activity;
the sexual depiction of real, identifiable individuals;
instructions or assistance for violent, terrorist, or criminal acts, weapons or explosives, or the manufacture, acquisition, or use of illicit drugs;
self-harm or suicide methods or encouragement; or
the facilitation, advertising, or arrangement of real-world sex work, human trafficking, sextortion, or doxxing.

You also agree not to attempt to circumvent, disable, "jailbreak," or otherwise defeat the safety systems, content filters, or moderation controls of the Services.

Content Moderation

You acknowledge and agree that:

Neontree, UAB reserves the right (but, except as required by law or under our Complaints & Content Removal Policy, assumes no general obligation) to monitor, review, filter, screen, block, refuse, modify, or remove any content generated, transmitted, or requested through the Services, using automated systems, human review, or both.
The Services apply content-safety controls designed to prevent the generation of prohibited content described above. These controls are not guaranteed to detect or prevent all prohibited content, and the existence of these controls does not create any warranty or obligation that they will do so.
We may suspend or terminate access, refuse a request, or substitute a refusal message at our discretion where we believe these Conditions may be violated.
We may preserve and disclose content, account information, and usage records where we believe in good faith that doing so is necessary to comply with law, enforce these Conditions, respond to claims, or protect the safety of any person — including reporting to law enforcement or NCMEC as described above.

The application of moderation to your activity does not make Neontree, UAB responsible for content that the moderation systems do not detect, and does not waive any disclaimer or limitation of liability in these Conditions.

Nothing in this section limits our commitment to remove content depicting a real, identifiable individual where that individual appeals for its removal and our investigation determines that valid consent was not given or is void under applicable law. Such appeals are handled in accordance with our Complaints & Content Removal Policy, including the independent, neutral-third-party resolution described there.

Reporting Illegal Content or Abuse

If you encounter content or conduct on the Services that you believe is illegal, exploitative, or in violation of these Conditions — including any content that may involve a minor — report it immediately to [email protected]. We review reports promptly and take appropriate action, including removal, account termination, and reporting to authorities where required.

Alterations

Neontree, UAB holds the right to adjust or cease, temporarily or permanently, the Platform and/or the Services, or amend these Conditions at any time, without advance notice, at its sole discretion. If changes to these Conditions occur, we will post notifications and the applicable modifications via the Platform. The Last Updated Date at the bottom of these Conditions will be updated as well. Modifications take immediate effect upon their posting; however, significant changes to the Conditions affect a pre-existing User merely thirty (30) days post-posting. By continuing to access the Platform post-change, you agree to the revised Conditions. Should the amended Conditions be unacceptable to you, your sole remedy is to discontinue using the Platform and Services.

Eligibility Criteria

The Services are intended exclusively for individuals aged 18 or older and are not directed to anyone under 18. By using or accessing the Services, you affirm and guarantee that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher), and that your access is not legally prohibited under the laws of the country from which you utilize them.

We may require age verification or age assurance as a condition of access, and may use third-party verification providers, where required by applicable law, app-store policy, or payment-processor rules. If we learn or reasonably believe that a User is under 18, we will terminate the account and delete associated data in accordance with applicable law.

No Professional Advice

Content generated through the Services is for entertainment purposes only and is not professional advice. Characters are not qualified professionals. Nothing generated through the Services constitutes financial, investment, legal, medical, psychological, or other professional advice, and you should not act on it as such. For decisions in those areas, consult a qualified licensed professional. Neontree, UAB is not liable for any action you take based on content generated through the Services.

Service Overview / Subscriptions / Refunds

The Services permit Users to interact with AI-generated characters via the chatbot capabilities of these Services.
Services are valid as long as posted on the Website unless specified otherwise. Offers via email are valid for the time mentioned in the email.
The Seller can change subscription prices for Content anytime, notifying the Buyer via email or as per these Terms. If the Buyer disagrees with new prices, they can cancel the subscription before the changes take effect, as described under "How to cancel" below.
Discounts on Services may apply at the Seller's discretion.
Information about Services, features, prices, and additional costs are available on the Website or email offers.
To access the Services, the Buyer needs an internet connection, an Account (unless optional), and payment of the indicated price.
Virtual Tokens/Credits. The Services may utilize virtual tokens, credits, or similar digital balances to access specific features (e.g., media generation). Such tokens or credits have no real-world monetary value, may not be exchanged for cash, transferred, sold, or shared between accounts. Tokens expire at the end of your billing cycle or upon account termination/subscription cancellation, and any unused tokens are forfeited immediately without reimbursement.
Recurring subscriptions. Service subscriptions are recurring. Unless cancelled at least 24 hours before the end of the current billing period, the subscription automatically renews for the renewal billing period, and at the renewal price, shown at checkout. One-off payment access is also available.
Plans and prices. We offer subscription plans with different billing periods (for example weekly, monthly, quarterly or yearly) and prices. The plans, billing periods and prices on offer change from time to time and may differ between campaigns, offers, regions and currencies, so not every plan is available at all times. Before you pay, the checkout page shows the plan you selected, including the amount charged today, the length of the first billing period, any introductory or trial price, and the renewal price and how often it is charged. The plan terms shown to you at the time of purchase form part of these Conditions.
Introductory offers and trials. Neontree, UAB may offer a first billing period at a promotional price, such as a paid trial or a discounted first period (an "Introductory Offer"), as shown at checkout. At the end of the Introductory Offer, the subscription automatically renews as a full recurring subscription at the renewal price and for the renewal billing period shown at checkout, unless the Buyer cancels at least 24 hours before the Introductory Offer ends. The promotional price applies only to the first billing period. Introductory Offer pricing may differ between campaigns and offers; the price that applies is the one shown to the Buyer at the time of purchase.
Upon subscription purchase, the Buyer receives login details for the Service to access Content for the subscription period.
How to cancel. The Buyer can cancel their subscription anytime, but no later than 24 hours before automatic renewal, in either of these ways:
- In the app: on the account settings page at https://app.lovelica.com/settings. To open it, the Buyer must log in with the same email address they used to purchase the subscription.
- By email: by writing to the Seller at [email protected].
Cancelling is free. No cancellation fee or other charge applies when the Buyer cancels, including during an Introductory Offer or any other promotional period. The Buyer is never charged the difference between a promotional price and the regular price because they cancelled.
After cancellation, no further renewal charges are made, and the Buyer can use the Service until the end of the paid subscription period.

Refund procedure:

Lovelica plans are generally non-refundable, as the Services constitute digital content fully disclosed and made accessible upon purchase. However, we review refund requests on a case-by-case basis as described below.
EU/UK Right of Withdrawal: If you reside in the European Union or the United Kingdom, you have a statutory right to withdraw from the purchase of digital content within 14 days without giving a reason. However, by purchasing a subscription and accessing the Services immediately, you expressly consent to the immediate performance of the contract and acknowledge that you will lose your right of withdrawal once the downloading or streaming of the digital content has begun. If your statutory rights require a prorated refund despite this consent, you must request it within 14 days by contacting [email protected].
Contact the Seller within 10 calendar days of the charge you are disputing to request a refund. For subscriptions that started with an Introductory Offer, the 10-day window applies separately to the Introductory Offer charge and to each subsequent renewal charge.
The Seller's team will review the refund request within 4 calendar days and make a decision.
Approved refunds are processed within 14 calendar days.

Refunds will not be made if:

The Buyer’s account was suspended, restricted, or terminated due to a violation of these Conditions or the Prohibited Content Policy.
The refund procedure is not followed.
The Buyer refuses necessary instructions or assistance.
The Buyer did not read the Terms before purchasing.
The Content was bought by mistake or based on incorrect assumptions.
The Buyer changes their mind for non-technical reasons.
The Buyer completed an Introductory Offer without cancelling and was subsequently charged the renewal price of the recurring subscription in accordance with these Terms.

Refunds are paid to the bank account used for the subscription, not for expired, non-use, low-use, dislike, or other subjective reasons.

If Content does not meet quality standards, the Buyer can contact the Seller to rectify issues. The Seller will address faults unless disproportionately costly. The Buyer can request a price reduction or terminate the Agreement if defects cannot be fixed.

One-off Content has a 2-year quality guarantee from submission. Continuous Content provision has a liability period for arising defects during the provision.

By purchasing a Lifetime Subscription, the Buyer secures access to the Services for as long as the Seller remains in active operation. However, it's important to note that this doesn't assure unlimited or eternal access. The duration of access is directly tied to the Seller's continued business activities. Should the Seller decide to cease operations or make significant alterations to their service offerings, they are obligated to inform Lifetime Subscription holders about any resulting changes. This communication will be sent to the email address linked to the Buyer's account. This clause underscores that while a Lifetime Subscription offers extended access, it's still contingent on the Seller's ongoing business status and service provision.

Payment and Billing Entities

All charges are in the currency indicated at checkout. The price applicable to a purchase is the price displayed at the time the order is submitted. Any applicable taxes are disclosed before you confirm the purchase.
You agree to pay using a valid credit or debit card or another accepted form of payment, and to provide current, correct, and complete billing information at checkout.
Your online payments are handled and processed by third-party payment service providers and/or by one of the following Group companies (each a "payment processing entity"), each of which is incorporated as stated below and is authorized to collect payments for the Services under these Conditions:
- Neontree, UAB, a private limited liability company (UAB) incorporated under the laws of the Republic of Lithuania, a member state of the European Union, with its registered address at Žemaitės g. 17-6, LT-87133 Telšiai, Lithuania — the Company, operator of the Platform and your contracting party.
- Berhert Media Inc, a corporation incorporated under the laws of the State of Utah, United States of America (Utah entity number 14662127-0142, EIN 41-4298548), with its registered address at 5232 S Wild Horse Wy, Bluffdale, UT 84065, United States — affiliated payment processing entity of the Group.
The name of the payment processing entity that handled your payment (Neontree, UAB or Berhert Media Inc), or the name of a payment service provider, may appear as the merchant descriptor on your bank or card statement. Regardless of which entity processes your payment, your contract for the Services remains with Neontree, UAB, and these Conditions — including the refund procedure above — apply to every purchase. The Company, as the seller of the Services, is the entity responsible to you under these Conditions; affiliated payment processing entities act solely in a payment collection capacity.
Card information is transmitted via encrypted channels and stored securely in tokenized form by our payment service providers. We do not store full card numbers. We reserve the right to add or change payment service providers and payment processing entities at our sole discretion.
We and our payment service providers may request and receive updated payment card information from your card issuer (such as updated card numbers and expiration dates) when your card has expired or been reissued. If such updated information is provided, recurring charges will be billed to the updated card. Your card issuer may allow you to opt out of its card-updating service; if you wish to opt out, contact your card issuer.
If a payment is not processed successfully for any reason, we reserve the right to re-attempt to process it.
We are not responsible for any fees or charges that your bank or card issuer may apply. If you do not recognize a charge, please contact us at [email protected] before disputing it with your bank, so that we can identify the transaction and resolve the matter directly.

Account Management

Account-holding Users may personalize and interact with AI-generated characters. To the extent you provide any content (for example, text prompts, preferences, or uploaded material), you assure you possess the rights, permissions, and licenses for that content, and that providing it does not infringe third-party rights, including copyrights, patents, and other Intellectual Property Rights. You confirm you will not provide any content that you are not legally entitled to provide.
You are solely liable for the inputs you provide and assure compliance with all applicable legal, regulatory, and property-rights requirements.
You may not provide any input that is unlawful, that depicts or solicits prohibited content described in these Conditions, or that infringes the rights of any third party.
License Grant: to the extent you provide content, you grant Neontree, UAB a worldwide, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify, and create derivative works of that content for the purpose of operating, improving, and securing the Services and complying with law.
Account Deletion Due to Inactivity: To manage infrastructure and storage requirements, we reserve the right to delete chat histories, generated media, and/or entire accounts following a prolonged period of inactivity. Such deletion may occur without advance notice or any obligation for reimbursement of prior purchases, tokens, or subscriptions.

Non-Endorsement Statement

You comprehend and agree that the characters are AI-generated and that Neontree, UAB does not endorse, and is not responsible for, the content of any particular interaction. Neontree, UAB does not warrant the accuracy of generated Content. Any legal relief sought for the conduct of other Users or third parties should target those responsible individuals directly. Nothing in this section limits Neontree, UAB's commitments under the "Prohibited Content and Zero-Tolerance Child Safety Policy" and "Content Moderation" sections above.

Conduct, Use and Representations by Users

By utilizing the Services, you warrant, represent, and agree to the following stipulations:

Confirmation of being at least 18 years old.
You shall not impersonate another entity nor falsify your identity, and you shall not represent yourself as a minor.
You shall not provide inputs infringing on third-party intellectual property rights.
You shall not request, solicit, or attempt to generate any prohibited content described in these Conditions.
You shall not attempt to circumvent, disable, or defeat the Services' safety systems, filters, or moderation controls.
You remain solely responsible for adherence to legal and regulatory requirements impacting your use of the Services or Content.
You will not utilize automated methods or scripts to access or manipulate the Services unless expressly permitted.
You refrain from using the Services for unauthorized commercial activities.
You shall not interfere with the Services via viruses or harmful technologies.
You commit to not accessing non-public areas or systems unauthorized.

Refraining from Certain Actions

The Services may not be used, nor should any User or third party use the Services for purposes such as:

Any activity that sexualizes, exploits, or endangers minors, or that violates the "Prohibited Content and Zero-Tolerance Child Safety Policy" above.
Distributing unsolicited commercial email (spam) in conflict with the CAN-SPAM Act.
Misrepresenting identity or creating misleading accounts for spam purposes.
Harvesting or mining websites for personal data.
Unauthorized transmission of emails or messages.
Transmitting harmful or illegal content including viruses or scams.
Engaging in unlawful conduct or malicious activities.
Gambling or running gambling operations.
Accessing or scraping any Neontree, UAB resources unlawfully.

Neontree, UAB retains the right to investigate and prosecute violations fully. Cooperation may include involving law enforcement.

Ownership and Intellectual Property

The Services are shielded by copyright, trademark, and additional laws in the United States and globally. You acknowledge and accept that these Services, including the Platform and its associated Intellectual Property Rights, belong to Neontree, UAB and its license holders. You agree not to alter or obscure proprietary rights notices within or alongside the Platform.

Given compliance with these Conditions, we grant you a limited, non-transferable, non-sublicensable right to use the Services and to view permitted Content. You agree not to exploit any Services or Content unless expressly permitted within these Conditions. No implied Intellectual Property Rights licenses are granted to you beyond these explicit terms.

AI-Generated Content Ownership and License. All text, images, conversations, and other materials generated through the AI features of the Services ("Generated Content") are produced in real time based on your inputs and our underlying models. Neontree, UAB and its licensors retain all right, title, and interest in the Generated Content. You do not acquire any ownership interest in it. Subject to your compliance with these Conditions, we grant you a limited, non-exclusive, non-transferable license to access and use Generated Content solely for your personal, non-commercial entertainment purposes. You may not sell, license, monetize, or otherwise commercially exploit any Generated Content, nor distribute or publicly display it outside of the Services without authorization.

Watermarks and Metadata. Neontree, UAB reserves the right to embed watermarks, invisible metadata, or other provenance information in Generated Content (especially images) to indicate its AI-generated origin and to assist in preventing misuse or unauthorized distribution.

Digital Millennium Copyright Act (DMCA)

If you are a copyright holder or agent believing that any Content infringes on your copyrights, you can submit a DMCA notice to our Copyright Agent with the following:

Your authorized physical or electronic signature.
Identification and evidence of material claimed to be infringing.
Information enabling us to locate and manage the infringing material.
Contact details, including address and email address.
A statement of good faith belief regarding unlawful usage.

Third-party Links

The Services might include links to third-party sites or resources. You understand and agree that Neontree, UAB is not liable for the availability, accuracy, or content of these sites or associated products and services. Using such links is your responsibility and assumes potential risks.

Neontree, UAB may display own or paid advertisements from third parties on the Services. Clicking advertisements could direct you elsewhere or provide information or offers. Neontree, UAB cannot be held accountable for advertisers' privacy practices or site content. Users are responsible for communications and transactions with advertisers.

Termination of Access

We reserve, without liability, the right to terminate these Conditions or your Service access at any time, with or without cause or notice, including for any actual or suspected violation of the "Prohibited Content and Zero-Tolerance Child Safety Policy." Termination allows us to disclose your identity to any third party claiming infringement of intellectual property rights or privacy, and to report to law enforcement or NCMEC where required. Cancellations do not obligate us to delete or return any posted Content, such as reviews or feedback, and do not require us to delete records we are obligated or permitted to retain for legal or safety purposes. This does not limit our obligation to remove content depicting a real, identifiable individual under our Complaints & Content Removal Policy.

Disclaimers

USING THE SERVICES IS AT YOUR OWN RISK. SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTY, EXPRESS OR IMPLIED. Neontree, UAB EXPRESSLY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT. Neontree, UAB DOES NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE AVAILABILITY.

THE SERVICES GENERATE CONTENT USING ARTIFICIAL INTELLIGENCE. SUCH CONTENT MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE, AND IS PROVIDED FOR ENTERTAINMENT ONLY AND NOT AS PROFESSIONAL ADVICE OF ANY KIND. ALTHOUGH WE APPLY CONTENT-MODERATION CONTROLS, WE DO NOT WARRANT THAT THEY WILL DETECT OR PREVENT ALL PROHIBITED OR OBJECTIONABLE CONTENT. YOUR RELIANCE ON ANY GENERATED CONTENT IS AT YOUR OWN RISK.

You agree to indemnify Neontree, UAB against any damages, fees (including legal fees) resulting from your Service use, including intellectual property infringement claims and any claim arising from inputs you provide or content you request in violation of these Conditions.

Limitation of Liability

SUBJECT TO MAXIMUM EXTENT OF LAW, ALL RISK ASSOCIATED WITH ACCESSING AND USING THE SERVICES IS YOURS. NEITHER Neontree, UAB NOR ANY PARTICIPANT IN SERVICE DELIVERY BEARS LIABILITY FOR DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING SERVICE INTERRUPTION OR SYSTEM FAILURE DUE TO THE PLATFORM, OR ANY DAMAGES ARISING FROM AI-GENERATED CONTENT. ANY LIABILITY FOR DAMAGES OR PERSONAL OR EMOTIONAL HARM ARISING FROM SERVICE USE REMAINS YOUR RESPONSIBILITY, INCLUDING WHERE A LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Indemnification

YOU AGREE TO RELEASE, DEFEND, AND PROTECT Neontree, UAB, INCLUDING ITS AFFILIATES AND SUBSIDIARIES, FROM CLAIMS, DAMAGES, OR LOSSES ARISING OUT OF OR RELATED TO YOUR SERVICE USE OR TERMS BREACH. Neontree, UAB CONTROLS ALL DEFENSE AND SETTLEMENT AS DISCUSSED HEREIN.

Assignment Restrictions

You cannot assign these Conditions or their resultant rights and duties without prior written consent from Neontree, UAB. Unapproved assignment attempts render the action void from inception. Neontree, UAB reserves the right to transfer these Conditions at its own discretion.

Communications

Unless noted otherwise, any required or permitted notices will be delivered in writing by Neontree, UAB through website postings or application notifications. Email communications are determined by the reception date.

Dispute Resolution and Applicable Law

INFORMAL PROCESS FIRST. Our primary aim is to address and resolve issues amicably and efficiently. If you encounter any problems with the Company, we encourage a dialogue before taking any formal steps. Simply send us a brief note describing the issue, and we will do our best to resolve it together.

ARBITRATION AGREEMENT. PLEASE READ THIS SECTION (THE "ARBITRATION AGREEMENT") CAREFULLY, AS IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR ABILITY TO BRING CLAIMS TO COURT.

Any dispute, claim, or controversy arising out of or relating to these Conditions or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services, shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND Neontree, UAB EACH AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator determines that the class action waiver is unenforceable for any reason, then the arbitration agreement shall not apply to that claim and it shall be brought in court.

Exceptions. Either party may bring an individual action in small claims court. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

Opt-Out. You may opt out of this Arbitration Agreement within 30 days of first accepting these Conditions by sending written notice to [email protected] with the subject line "Arbitration Opt-Out." If you opt out, all other provisions of these Conditions remain in effect.

Governing Law. These Conditions and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
